History
The Department of Registrar of Companies was established in 1939, and functioned under the Ministry of Industries and Commerce, upto 1947. In 1947 by a notification appearing in the Govt.Gazette, Extraordinary of September 29th of 1947, assigned the Department of the Registrar of Companies under the general control of the Ministry of Labour, Industry and Commerce.
This department administers the Companies Ordinance No.05 of 1938. Trade Marks Ordinance, Cap.121, Business Names Ordinance, Cap120, Mutual Societies Ordinance, Cap.105, Cheetu Ordinance, Cap.128, and the Patent Ordinance Cap.123 Earlier these ordinances were administered by the Registrar General’s Department.
In the administration of these Ordinances, the department renders to the public every service incidental to the grant of legal status, sanction or certification that would be necessary for the conduct of business.
The present law embodies in the Companies Ordinance No.5 of 1938, to which certain new provisions have been introduced from time to time, and this ordinance was amended by ordinance No.19 of 1971.
The law relating to the business names is contained in the Business Names Ordinance No.6 of 1918 (Cap 149) registration under this law is compulsory and facilitates the maintenance of records which provide the public with the names and addresses of the proprietors of business concerns and other useful information.
The Registration of Business Names is decerntralised. Registration in the Western Province is under taken by the department, while those in the other provinces are done at the district kachcheries.
The administration of the code of Intellectual Property Act No.52 of 1979 is also another function of the department. This Act became operative since January 1980.
